- Overview
These Terms of Trade form the basis upon which Stroud Brewery Ltd (“the Supplier”) supplies products to any business purchasing products for resale (“the Customer”).
These Terms apply to all sales and supplies unless otherwise agreed in writing by the Supplier.
By placing an order with Stroud Brewery Ltd, the Customer accepts these Terms of Trade.
- Our Promise to You
Stroud Brewery is committed to supplying high quality products alongside dependable customer service and support.
We will:
- Supply a range of outstanding core and seasonal beers.
- Supply Dunkertons kegged cider where available.
- Provide point of sale materials where available, including branded glassware, beer mats, mini leaflets, pump clips, and promotional materials.
- Aim to resolve genuine product quality concerns fairly and prompt, provided products have been correctly stored and handled.
- Aim to provide same-week delivery for orders received by the end of Monday where operationally possible.
- Aim to provide delivery the following week for later orders.
All delivery commitments remain subject to product availability and operational circumstances beyond our reasonable control.
- Orders
Orders should be placed using the Supplier’s agreed ordering procedures.
The Supplier may:
- Manage or limit orders where appropriate.
- Amend product availability.
- Apply minimum order quantities or delivery charges where appropriate.
Orders may not be cancelled after dispatch without prior agreement from the Supplier.
- Pricing
All goods are supplied at the Supplier’s current trade prices applicable at the date of delivery.
Prices may be amended periodically due to duty increases, taxation changes, raw material costs, packaging costs, transport costs, or other external factors beyond the Supplier’s control.
All prices are exclusive of VAT unless otherwise stated.
Any promotional pricing, discounts, or volume agreements may be withdrawn where payment terms are not maintained.
- New Customers & Credit Accounts
New customers will normally trade on a pro forma basis initially, with payment required prior to delivery or collection.
Applications for credit facilities are subject to approval by Stroud Brewery Ltd.
Approved credit account customers will normally trade on 14-day terms by Direct Debit unless otherwise agreed in writing.
The Supplier may:
- Set or amend credit limits.
- Place accounts on stop.
- Suspend deliveries.
- Return accounts to pro forma terms where necessary.
The Supplier reserves the right to withdraw credit terms at any time.
Invoices and statements will be issued electronically to the nominated accounts contact supplied by the Customer.
The Customer shall not withhold or set off payment against any alleged claim or dispute unless agreed in writing by the Supplier.
- Late Payment & Debt Recovery
Failure to maintain agreed payment terms may result in:
- Withdrawal of discounts or promotional support.
- Suspension of supply.
- Cancellation of supply agreements.
- Withdrawal of credit terms.
- Formal recovery procedures.
Where invoices remain unpaid beyond agreed payment terms, the Supplier may:
- Refer outstanding balances to a third-party debt collection agency.
- Commence legal recovery proceedings.
- Recover reasonable costs incurred in recovering overdue sums, including administrative, legal, and collection costs where permitted by law.
The Supplier reserves the right to charge statutory interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
The Supplier reserves the right to recover goods where payment is overdue.
- Delivery & Risk
Risk in the goods passes to the Customer upon delivery.
Delivery dates are estimated and not guaranteed.
Customers are responsible for ensuring:
- Safe and suitable delivery access.
- Appropriate cellar, refrigeration, and cold storage conditions.
- Suitable stock rotation.
- Correct handling and dispense practices.
The customer must inspect the supplies upon delivery.
Breakages, shortages, or delivery discrepancies must be reported within 24 hours of delivery.
- Product Quality & Returns
Any quality concerns should be reported as soon as possible following delivery or tapping.
Claims for shortages, breakages, or incorrect deliveries may be refused if not reported within 24 hours from the time of delivery.
The Supplier may request:
- Photos.
- Batch details.
- Return of product for inspection.
The Company reserves the right to:
- Replace the product.
- Issue a credit.
- Refuse claims where storage or handling guidelines have not been followed.
The Customer is responsible for ensuring products are sold and served within recommended best-before or freshness periods.
The Supplier reserves the right to inspect or collect any product subject to complaint before issuing replacement stock or credit.
Returns or credits may be refused where products have been incorrectly stored, exceeded recommended shelf life, or been mishandled after delivery.
Due to the nature of brewing, products may vary slightly in appearance, flavour, or ABV between batches.
- Kegs, Casks & Equipment
All kegs, casks, reusable containers, and any loaned equipment remain the property of the Supplier at all times.
The Customer is responsible for:
- Safe storage.
- Timely return.
The Supplier reserves the right to charge for:
- Lost cooperage.
- Damaged containers.
- Excessive delays in returns.
- Damaged loaned equipment.
Empty containers should be made available for collection within a reasonable timeframe.
- Retention of Title
Risk in the goods passes on delivery in accordance with Section 7, however legal title remains with the Supplier until payment has been received in full.
Where payment remains overdue, the Supplier reserves the right to recover goods supplied where legally permitted.
- Resale & Distribution
Goods are supplied for resale through the Customer’s registered premises only.
Goods must not be redistributed for wholesale supply or resold via third-party online marketplaces without prior written consent from the Supplier.
- Branding & Marketing
The Customer may use the Supplier’s branding solely for the promotion of stocked Stroud Brewery products.
Branding must not be:
- Altered
- Used in a misleading or damaging manner
The Supplier reserves the right to request the removal of branding at any time.
- Alcohol Compliance
Customers purchasing alcohol for onward sale or wholesale confirm that they maintain all necessary licences, registrations, permissions, and approvals required under applicable UK law.
The Customer must comply with all applicable laws relating to the sale of alcohol, including:
- Licensing requirements
- Age verification laws
The Supplier reserves the right to suspend or terminate supply where non-compliance is suspected.
- Suspension & Termination
The Supplier reserves the right to suspend or terminate supply at any time, including where invoices remain unpaid, agreed payment methods are cancelled, the Customer becomes insolvent, or there is repeated breach of these Terms.
If the Customer becomes insolvent or unable to pay its debts, the Supplier may:
- Cancel orders
- Suspend supply
- Recover outstanding goods
All outstanding payments become immediately due upon termination.
- Indemnity
The Customer shall be responsible for any claims, losses, or damages arising from the improper storage, handling, resale, or use of the Goods by the Customer.
- Limitation of Liability
Product descriptions and ABV information are provided in good faith.
The Customer is responsible for:
- Ensuring compliance with all licensing laws
- Correctly representing products to consumers
The Supplier shall not be liable for indirect or consequential losses, loss of profit, loss of business, or issues arising from incorrect storage or dispense practices.
The Supplier’s liability for any valid claim shall not exceed the value of the affected goods supplied.
- Force Majeure
The Supplier shall not be liable for failure or delay in performing its obligations where caused by circumstances beyond reasonable control, including weather events, supply shortages, transport disruption, labour shortages, equipment breakdown, utility failure, or government restrictions.
- Website & Trade Information
Trade product listings, product specifications, availability, promotional offers, and pricing displayed on the Supplier’s website or marketing materials are provided for general guidance and may be amended without notice.
- Data Protection
The Supplier will process customer information in accordance with applicable UK data protection legislation and the Supplier’s Privacy Policy.
- General
These Terms of Trade apply to all sales and supersede any alternative terms supplied by the Customer unless agreed in writing.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
Stroud Brewery values long-term partnerships with its trade customers and will always aim to resolve any issues fairly, professionally, and collaboratively.
- Governing Law
These Terms are governed by the laws of England and Wales and the courts of England and Wales shall have exclusive jurisdiction.
Both parties agree to attempt to resolve any disputes in good faith before formal legal proceedings.
